Vouga Abogados advised on the structuring of the Administration and Guarantee Trust constituted by Rutas del Este S.A. as Trustor, Visión Banco SAECA as Trustee and Sudameris Bank, Banco Atlas, Banco Regional and Banco Continental as Beneficiary Borrower Banks.

Vouga's advice included the drafting of the administration and guarantee trust agreement as well as the drafting of the other legal documents necessary for the formalization of the trust business.

The borrowing banks have granted, through a USD 50 million syndicated loan, the financing that will be used for the execution of the rehabilitation works of Section 0 between San Lorenzo and Ypacarai, as well as the temporary operation and maintenance of the rest of Routes 2 (between Asunción and Coronel Oviedo) and 7 (between Coronel Oviedo and Caaguazú), all within the framework of the Public-Private Partnership (PPP) contract with the Ministry of Public Works and Communications (MOPC).

In order to provide security to the syndicate of borrowing banks, the structure foresees the creation of an administration and guarantee trust, whereby the trustor Rutas del Este S.A. transfers assets and rights to be collected to an autonomous patrimony, which will be administered by Visión Banco SAECA, as trustee, and such assets and rights will be specially assigned to guarantee the payment of the obligations contracted with the aforementioned local banks.
